1. Agreement to Terms
By accessing or using Invoice Manager (“the Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the Service.
2. Description of Service
Invoice Manager is a web application that connects to your Gmail account, identifies invoice-related emails, extracts data from PDF attachments using artificial intelligence, and organizes the extracted data for search, reporting, and export.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 16 years old to use the Service.
4. Gmail Access
The Service requires you to grant read-only access to your Gmail account via OAuth. By connecting your Gmail account, you authorize Invoice Manager to:
- Search your emails for invoice-related messages
- Download PDF attachments from those emails
- Store the downloaded PDFs in our secure cloud storage
You may revoke Gmail access at any time through the Service's settings or through your Google account settings.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service
- Use the Service to process data you are not authorized to access
- Resell, sublicense, or redistribute the Service without authorization
- Use automated means to access the Service beyond its intended use
6. Intellectual Property
The Service, including its code, design, and documentation, is the intellectual property of Invoice Manager. You retain ownership of all data you upload or generate through the Service, including your invoices and extracted data.
7. Data Processing
By using the Service, you acknowledge that your invoice PDFs will be processed by third-party AI services for data extraction. While we strive for accuracy, we do not guarantee the accuracy of extracted data. You are responsible for verifying extracted invoice information.
8. Service Availability
We aim to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.
9. Fees and Payment
Invoice Manager may offer free and paid plans. If you subscribe to a paid plan, you agree to pay all applicable fees. We reserve the right to change our pricing with reasonable notice. Payment terms, including billing cycles, refund policies, and accepted payment methods, will be communicated at the time of purchase.
10. Refund Policy
If you are not satisfied with a paid plan, you may request a refund within 14 days of your initial purchase. After the 14-day period, fees are non-refundable. To request a refund, contact us at support@misimpl.com.
11. Limitation of Liability
To the maximum extent permitted by law, Invoice Manager shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Invoice Manager and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.
13. Termination
Either party may terminate this agreement at any time. You may delete your account through the Service or by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period.
14. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If informal resolution is not possible, disputes shall be resolved through binding arbitration in accordance with applicable laws.
15. Governing Law
These Terms are governed by and construed in accordance with applicable laws. You agree to submit to the jurisdiction of the applicable courts.
16. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Service.
